These Terms of Use represent the agreement between You and the Organization regarding Your access to and use of this Website. Please read them carefully before using this Website.

Glossary

  • Agent: A natural person who accesses the Website in order to collect, analyze, or deposit Data on behalf of another natural person or legal entity.

  • Autonomous Agent: A software or hardware system that accesses the Website in order to collect, analyze, or deposit Data on behalf of a natural person or legal entity.

  • Content: The information provided by the Website, which may include but is not limited to text, audio, images, and video.

  • Cooperative: An economic enterprise owned and operated by its workers.

  • Data: Information stored on the server hardware that hosts the Website.

  • Device: The hardware used to access the Website, including but not limited to desktop computers and cell phones.

  • ERP: Enterprise Resource Planning, a common industry term that the Software falls under.

  • Feedback: Information You voluntarily provide to Us through the Website.

  • Organization, Us, We, Our: Apoidea Group, developers of the Apoidea ERP Software and operators of the Website.

  • Personal Data: Personally identifying information from Users that is part of the Data stored on the Website server. May include email addresses and names.

  • Pricipal: A natural person or legal entity that directs an Agent or Autonomous Agent to visit the Website.

  • Strategic Union: A type of Cooperative modeled as a labor union that elects a CEO internally to run a profit-generating business.

  • The Software: Apoidea Cooperative Management Suite (Shortened: Apoidea ERP), the open-source server software being developed by the Organization to enable efficient management of Strategic Union Cooperatives.

  • Terms of Use: This document, forming the agreement between You and the Organization regarding Your use of the Website.

  • Users: Natural persons or legal entities who access the Website.

  • Website: The Apoidea Project website showcasing a semi-functional mock-up of the Software, this Website, accessible from [URL].

  • You, Your: The natural person or legal entity accessing the website, through direct access or through an Agent or Autonomous Agent.

Representation

By continuing to use the Website, You represent that You are:

  • 1. A natural person at least 18 years of age or a legal entity acting on Your own behalf through Your own actions or through an Agent or Autonomous Agent,

  • 2. Or a natural person at least 13 years of age acting with the permission of Your parent or guardian,

  • 3. Not an Autonomous Agent accessing the Website without explicit instructions to do so from your operators.

  • 4. In agreement with these Terms of Use, the Privacy Policy, and the Cookies Policy.

Nature of Services

The Website is a mock-up of the Software, an open-source web application designed to be hosted on a server and used to manage a Strategic Union Cooperative. The Organization will update the Website as new Content is developed as a visual demonstration of the Software's future capabilities.

The Website allows You to learn about the Software, try out the user interface and associated front-end tools, read feedback from other Users, and communicate with the Organization through the chat function and contact form.

The Website is provided as-is without warranties of any kind, including express or implied, those of merchantability, or those of fitness for any particular purpose.

Under no circumstances will the Organization or its partners or affiliates accept liability arising from Your use of the Website for any purpose, regardless if the damages are indirect, incidental, or consequential.

Acceptable Use Policy

You are prohibited from attempting to access non-public facing portions of the Website or Data.

You are prohibited from attempting to disrupt the Website in any way, including through excessive interactions generated by You, Your partners, or Your Agents and Autonomous Agents.

The Website allows You to provide Feedback through contact forms and chat functions. You are prohibited from submitting commercial solicitations, explicit media, or illegal Data into any feedback form. Collaboration proposals are welcome.

You are prohibited from attempting to overwhelm the Website or the Organization with excessive Feedback.

Intellectual Property

Feedback provided by You or Your Agents or Autonomous Agents to the Organization through the Website remains Your intellectual property. You grant Us a non-exclusive, irrevocable license to moderate and display the Feedback on the Website at Our discretion.

You are free to use the Website Content for informational and educational purposes and to re-share it as long as You don't use it to misrepresent the Organization, the Website, the Software, or the purpose of the project.

We reserve the right to change these Terms of Use and any associated documentation at any time at Our discretion. Users who opt-in to email updates will receive notifications of updates to these Terms of Use. Additionally, the link in the footer will be updated with a hover-title-card showing the last update date.

Indemnity

You agree to indemnify and hold harmless the Organization and our partners and affiliates for any liability resulting from Your use of the Website or its code.

User Liability

You, the Principal, are responsible for any and all liability arising from Your Agents' or Your Autonomous Agents' use of the Website or its code.

Jurisdiction

These Terms of Use are governed by the laws of Massachusetts, United States.
